Terms of Service for Yuzu Marché

Welcome to Yuzu Marché! By accessing or using the website located at www.yuzumarche.com (the “Site”) operated by Yuzu Marché LLC (“us,” “we,” or “Yuzu Marché”) or purchasing from our online store, you agree to be bound by these Terms of Service (“Terms”).
Please carefully review these Terms as they govern your use of the Site, which includes the products made available through our online store (“Products” and, together with the Site and our online store, the “Services”) If you do not agree to these Terms, do not use the Services.
1. Privacy and Personal Data
Please refer to our Privacy Policy for information about how we collect, use, disclose and otherwise process information about you and your use of the Services. Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in other countries than where you reside, in order to provide services to you. By using the Services, you consent to the collection, use, disclosure, and processing of information as outlined in our Privacy Policy.
2. Account Registration and Responsibilities
To access certain features of the Services, you may be required to register an account. You agree to provide accurate, current, and complete account information, and to maintain and promptly update your account information in the event of any changes. You may not use another person's account or registration information for the Services without permission. You must notify us immediately of any change in your eligibility to use the Services, breach of security or unauthorized use of your account. You are solely responsible for all activities that occur under your account, whether or not you know about them or have authorized them. By accessing the Site or using the Services, you represent to us that you (i) are not a minor, and that you are lawfully able to enter into contracts, and (ii) have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.
3. Product Information
We strive to provide accurate Product descriptions, but we do not warrant that any such descriptions are accurate, complete, reliable, current, or error-free. If a Product we sell is not as described, your sole remedy is to return it to us in unused condition in accordance with Section 7 of these Terms (Returns, Refunds, and Title). Colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the Services and your device settings and configuration
4. Pricing
All prices are listed in United States dollars, and are exclusive of taxes, duties, and any charges for shipping and handling. All such taxes, duties, and charges will be added to your purchase total and will be itemized in your shopping cart and in your order confirmation email. Prices, discounts, and promotions are subject to change without notice at our discretion. We reserve the right to correct pricing errors even after orders are placed. In the event of pricing errors, we will, at our discretion, either (i) contact you for instructions before shipping, or (ii) cancel your order and notify you of the cancellation.
5. Payment
When you purchase a Product and make a payment via the Site (each such purchase, a “Transaction”), you expressly authorize us (or our third-party payment processor, if applicable) to charge you for such Transaction. We may ask you to supply additional information relevant to your Transaction, including your credit card number, the expiration date of your credit card and your email and postal addresses for billing and notification (such information, “Payment Information”). You represent and warrant that (i) you are duly authorized and have the legal right to use all payment method(s) represented by any such Payment Information, (ii) the Payment Information is true, correct and complete, and (iii) you have sufficient funds or credit available upon your initiation of a Transaction to ensure that the purchase price will be collectible by us. When you initiate a Transaction, you authorize us to provide your Payment Information to our third-party payment processor so we can complete your Transaction and to charge your payment method for the type of Transaction you have selected (plus any applicable taxes and other charges).
6. Order Acceptance and Cancellation
We reserve the right to accept or reject orders for any reason. Your receipt of an order confirmation does not signify acceptance. If your order is canceled after payment, we will issue a full refund. We reserve the right to limit quantities and to cancel orders at our sole discretion. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests after an order is accepted.
7. Shipping, Risk of Loss, and Title
Shipping times are estimates only. Title and risk of loss of a Product transfers to you when we deliver the Product to the carrier. We are not responsible for delays in shipments.
8. Returns, Refunds, and Title
You may return Products in original condition (i.e., unopened in the original packaging) within 30 days of shipment. You are responsible for return shipping and all associated costs unless the Product is defective. Refunds will be processed to the original payment method within 10 business days after inspection. Items showing use, damage, or tampering may be denied for return.
9. Intellectual Property
You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Yuzu Marche, Shopify or any third party. We reserve all rights not expressly granted herein.
Yuzu Marché’s names, logos, product and service names, designs, and slogans are trademarks of Yuzu Marché or its licensors. You must not use such trademarks without the prior written permission of Yuzu Marché. Shopify’s name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
10. Suggestions
We welcome any feedback, comments, or suggestions for improvements to the Services (“Suggestions”) you may choose to share. To the extent you submit any Suggestions to us, you hereby irrevocably assign to us all right, title, and interest in and to the Suggestions.
11. Prohibited Uses
You may not use the Services: (i) for unlawful purposes; (b) to infringe upon our or any third-party intellectual property rights; (c) to upload malicious code; or (d) to collect personal data of others without consent.
12. Warranty Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY LAW, YUZU MARCHÉ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE PRODUCTS OR ANY OTHER SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY PRODUCT DESCRIPTIONS.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE WILL YUZU MARCHÉ, OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY OR ITS AFFILIATES, BE LIABLE UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LIABILITY, FOR ANY (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR (B) LOSS OF PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, DATA, OR GOODWILL.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL OUR TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE PRODUCTS OR OTHER SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO US FOR THE PURCHASE OF THE PRODUCTS OR USE OF THE OTHER SERVICES, AS APPLICABLE.
14. Indemnification
You agree to indemnify, defend, and hold harmless Yuzu Marché, Shopify, and our affiliates, directors, officers, employees, agents, service providers, and licensors from any third-party claims or demands, including reasonable attorneys’ fees, arising out of (i) your breach of these Terms, (ii) your violation of any applicable law, or (iii) your access to or use of the Services.
15. Termination
We reserve the right to suspend or terminate your account or access to the Site at our discretion without notice, for any or no reason, including if we believe you have violated these Terms or any applicable laws. The following will survive any termination, discontinuation of the Services or your account: Privacy and Personal Data, Warranty Disclaimers, Limitation of Liability, Indemnification, Termination, Governing Law and Disputes, and Miscellaneous.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington. Any disputes shall be resolved in the state and federal courts located in King County, Washington. You hereby irrevocably waive any right to a jury trial.
17. Changes to Terms or Services
Yuzu Marché reserves the right, in our sole discretion, to change, modify, add or remove portions of these Terms at any time without notice. Your continued use of the Site following the posting of changes (as indicated by the last updated date noted above) will mean that you accept and agree to the changes.
18. Miscellaneous
Our failure to exercise or enforce any right or provision in these Terms will not constitute a waiver of such right or provision. These Terms and any policies posted by us on the Site (i) constitutes the entire agreement and understanding between you and us, and governs your use of the Services, and (ii) superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written (including any prior versions of these Terms). You may not delegate, transfer or assign any of your rights or obligations under these Terms without our prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice.
